EMPLOYMENT AGREEMENT

 

 

THIS AGREEMENT, made this ____ day of ____ 2007,  between Oak Harbor Animal Hospital, P.S., d.b.a. Best Friend's Veterinary Center, hereinafter called the "Employer" and YOURSELF, herein called the "Employee",

 

WITNESSETH:

Employment. The employer hereby employs the employee and the employee hereby accepts employment upon the terms and conditions hereinafter set forth.

Term. The term of this agreement shall begin when available and run for 1 year. Signing this agreement shall be conclusive evidence of intent to fulfill this agreement as written.

Compensation. The employer shall pay the employee a salary of $  DOE  per year, payable every other week, plus:

Duties. The employee's regular work schedule shall be as follows: 1) Start time staggered with other staff veterinarians to provide full coverage from 8:00 a.m. until work is completed Monday through Friday. 2) Alternate weekends on an equal basis with other staff veterinarians. 3) The amount of time off during the business week will be equal among all veterinarians (usually one day per week if 3 or 4 doctors are working) vacation time notwithstanding. The employee shall be responsible for in-hospital treatments on days that the employee is also "on call". The employee shall share equally the emergency calls. The employee must offer excellent care and service to the clients and patients. The employee shall maintain a pleasant attitude. The employee must conduct herself in a professional manner and be neat in appearance.

Exclusive Services… Employee shall be engaged in the practice of veterinary medicine solely as an employee of Employer unless otherwise authorized by the Employer.

Non-competition Agreement. The parties agree that the employer's business is local in scope and would suffer serious damage and loss of goodwill if the employee entered into competition with the employer upon termination of this agreement or during the term of this agreement. Therefore, the employee agrees that at no time during the term of this agreement or for a period of two (2) years immediately following the termination of his employment hereunder will he, for himself or on the behalf of any person or corporation other than the employer, engage, own, manage, operate, or control any business related to the practice of veterinary medicine. This restriction will apply to Whidbey Island and Fidalgo Island. Additionally, the employee will not, directly or indirectly, solicit or attempt to solicit business or patronage of any person or corporation within such territory for the purpose of offering veterinary services and such other business and service now engaged in by the employer.

Patient Records. Patients treated by Employee are patients of the Employer and the records are the property of the Employer.

Liquidation Damages. Upon breach of the Employee of this non-competition provision Employee shall pay to Employer the sum of $600.00 per day as liquidated damages to compensate Employer for injury resultant from the breach of the agreement not to compete, it being impossible to ascertain or accurately estimate the cost, damage or injury which the Employer may sustain as a result of the breach. Such sum is compensation for injuries and damages suffered by Employer, and not a penalty. In addition the Employee agrees to pay Employer's reasonable legal fees and costs in the event of a breach of any term of this agreement.  Employer is entitled to an immediate court ordered injunction against the employee to cease and desist if there is a breach of the agreement not to compete.   

 

Venue. Venue for any legal proceedings instituted relating to this agreement shall be Island County, Washington.

 

Entire Agreement. This written agreement contains the sole entire agreement between the parties and shall supersede any and all other agreements between the parties. The parties acknowledge and agree that neither of them has made any representation inducing the execution and delivery hereof except such representatives as are specifically set forth herein and each of the parties hereto acknowledge that he has relied on his own judgment in entering into the same.

 

Modifications. Conditions of this agreement may be modified on by the written acceptance of both parties.
